Check the following box if the filing is a final amendment reporting the results of the tender offer: [ ] INTRODUCTORY STATEMENT The Interpublic Group of Companies, Inc., a Delaware corporation ("Interpublic"), hereby amends the Tender Offer Statement on Schedule TO (the "Schedule TO"), originally filed on March 10, 2003 and amended by Amendment 1, dated March 10, 2003 and Amendment 2, dated March 19, 2003, with respect to the offer to purchase for cash any and all of its outstanding Zero-Coupon Convertible Senior Notes due 2021 (the "Notes") at a purchase price of 82.9876% of their principal amount at maturity. Interpublic's offer for the Notes is being made on the terms and subject to the conditions set forth in the Offer to Purchase, dated March 10, 2003, and the related Letter of Transmittal. Copies of the Offer to Purchase and the Letter of Transmittal are included as Exhibits (a)(1)(i) and (a)(1)(ii), respectively, to this Schedule TO. The offer will expire at 12 midnight, New York City time, on Friday, April 4, 2003, unless the offer is extended. The Schedule TO, as amended, is intended to satisfy the reporting requirements of Rule 13e-4(c)(2) under the Securities Exchange Act of 1934, as amended. Item 4. Terms of the Transaction.
